Cognition raises $2 billion round at $48 billion valuation

Cognition secured $2 billion in fresh capital at a $48 billion valuation at 2:04 PM PDT on September 8, 2026, to expand the engineering of coding assistant Devin. The financing closed four months after a prior $26 billion valuation and drew capital from lead investors Andreessen Horowitz, Accel, Founders Fund, General Catalyst, and Avenir.

The sharp valuation increase reflects continued venture capital appetite for multiple large companies competing in software automation. Cognition reported that its annualized run-rate revenue expanded from $492 million to $900 million following its prior capital increase announced in May. The firm provided no specific accounting methodology for that revenue calculation, an industry metric that commonly multiplies monthly performance by 12.

Rival tool Cursor negotiated a $50 billion valuation round in April before selling to SpaceX for $60 billion later that month while generating more than $2 billion in annualized revenue. That transaction structure leaves Cognition trading at a steeper revenue multiple than its competitor achieved during those spring discussions.

Cursor agreed to the SpaceX acquisition primarily due to severe computational hardware bottlenecks. Compute limits remain challenging. The extent of similar computational limitations affecting Cognition operations remains unconfirmed.

The company leases a dedicated Nvidia server infrastructure cluster requiring hundreds of millions of dollars in annual lease commitments, an ongoing expenditure that could push overall operational cash burn to $800 million across the entire current calendar year.

Cognition trains proprietary models using open source foundations to mirror the technical roadmap Cursor followed before its corporate acquisition. Lowering dependence on external systems from OpenAI and Anthropic aims to decrease operating expenses and steer internal financials toward financial breakeven.

Projections place Cognition on a trajectory toward $4 billion to $5 billion in annualized revenue by the end of 2026. Earlier internal estimates showed Cursor tracking toward more than $6 billion by that same annual conclusion. Early Cursor shareholder a16z backed the current funding effort to lead investment into its former portfolio company’s primary market rival.
