Comcast plans to split operations and create independent company with NBCUniversal and Sky

Last Monday, Comcast announced plans to deeply reorganize its operations, dividing the media and technology areas. The initiative provides for a tax-neutral spin-off of NBCUniversal and Sky into a new independent company, causing a significant increase in the value of the company’s shares in negotiations before the market opens.

In an official press release, the corporation reported that, upon completion of the spin-off process, its technology and media branches will operate as “two publicly traded and completely independent companies.”

The company detailed that current Comcast shareholders will receive shares in both new entities. The expectation is that the entire separation process will be completed by next year.

The statement emphasized that the strategic maneuver aims to establish “two leading companies with a specific sectoral focus”, responding directly to the dynamics of “rapidly and constantly changing markets”. This restructuring reflects a global trend of media conglomerates adapting to an increasingly competitive digital landscape, where specialization can generate greater agility and value, an essential move for long-term sustainability.

The new structure that will emerge from the spin-off of NBCUniversal will encompass important assets such as Universal’s film and television studios, the group’s theme park division, broadcasters NBC and Telemundo, as well as the Peacock streaming service and other media properties, including Sky in Europe.

Immediate impact on the company’s roles in the market

During Monday’s trading session, even before the official opening time, Comcast’s shares jumped to US$29.23. This value represents an increase of more than 26% compared to the stock exchange closing on Friday. The appreciation in the pre-market practically reversed the accumulated depreciation of Comcast shares since the beginning of the year. The previous year, the company also showed strong interest in acquiring Warner Bros. Discovery, competing with other giants such as Paramount and Netflix.

Questions about Comcast’s future participation in the new company

In the restructuring announcement, Comcast signaled its intention to maintain a stake of “up to 19.9%” in NBCUniversal for a maximum period of one year after the spin-off takes effect. The new media company will retain the same dual-class share architecture. Additionally, Comcast plans to “monetize” its residual stake in a “tax-efficient manner over time.”

This decision to transform NBCUniversal into an independent entity follows a similar move that took place just six months ago. Previously, Comcast had spun off its cable TV networks, creating Versant Media. The plan for Versant was released at the end of 2024 and officially endorsed by the board last year. Versant, which began operations earlier this year, now manages and owns cable television networks such as CNBC, USA Network, MSNOW (formerly MSNBC) and Syfy, among others. This pattern of divestment and restructuring demonstrates Comcast’s search for greater strategic focus on its core operations in the face of the constant evolution of the entertainment and telecommunications sector.
