SpaceX board approves Musk’s compensation package linked to Martian colonization
SpaceX’s board in January approved an ambitious compensation plan for founder Elon Musk tied to futuristic goals. Details of the package, presented in a confidential document to Comissão of Valores Mobiliários of Estados Unidos (SEC), link the entrepreneur’s financial gains to objectives that include colonizing Marte and operating data centers in space.
The compensation structure reflects the board’s effort to keep Musk’s attention as the company prepares to go public. Especialistas on corporate governance warn that the initiative could generate tensions between SpaceX investors and shareholders of Tesla, where Musk serves as CEO.
Metas Martians and billionaire valuation
The package grants Musk 200 million restricted shares with multiple voting rights if SpaceX reaches a market value of US$7.5 trillion and establishes a permanent human colony on Marte with at least 1 million people. Classe B shares carry 10 votes each, while Classe A shares have one vote per share. Earnings are released in installments as the company’s value increases.
The executive may also receive up to 60.4 million restricted shares, granted on March 23, if SpaceX achieves specific valuation targets and operates data centers in space. The required computing capacity is at least 100 terawatts — equivalent to 100,000 gigawatts or about 100,000 one-gigawatt nuclear reactors operating simultaneously.
Estrutura with no defined deadline
Nenhuma share will be granted if the company does not meet the valuation targets set by the board. Ambitions are not tied to a specific timeline beyond Musk’s continued employment. Desde 2019, the founder receives a symbolic salary of US$54,080 per year from SpaceX.
Details of the package were not widely disclosed until Reuters’s review of the confidential registration statement. The document reveals the magnitude of the bets that the board is willing to make to keep Musk aligned with the company’s long-term objectives.

Implicações corporate and governance
The compensation structure demonstrates how SpaceX tries to reconcile science fiction visions with real financial commitments. The granting of shares with differentiated voting rights ensures that Musk maintains significant control even in scenarios of post-IPO shareholding dilution.
- Valuation Metas: $7.5 trillion (Marte) and shares with multiple voting
- Space data center Capacidade: 100 terawatts minimum
- Ações Classe B with 10 votes per unit
- Liberação in installments conditional on growth in business value
- SpaceX annual Salário: $54,080
The approval of the package signals the board’s confidence in the company’s technological possibilities, even though the goals go beyond traditional commercial horizons.
